This Agreement is between Rainy Days Drainage and Outdoor Solutions LLC (“Company”) and the Customer identified in the signed Work Authorization.
1. Scope of Work
- All work is limited to what is specifically described in the Work Authorization.
- Any additional work requested shall constitute a Change Order and result in additional charges.
2. Payment Terms
- 50% deposit due at acceptance
- 25% due at material delivery
- 25% due upon completion
Final payment is due immediately upon substantial completion.
Final payment shall not be withheld for punch list or minor items unless agreed prior to service.
A 1.5% monthly late fee will apply to unpaid balances.
The Company reserves the right to stop work for non-payment.
All warranties are void until paid in full.
3. Change Orders
- Changes may be approved verbally or in writing and will:
- Result in additional charges
- Extend timeline if necessary
4. Site Conditions & Access
Customer agrees to:
- Provide clear access
- Remove obstacles
- Allow equipment access
Additional costs may apply for restricted access or delays.
5. Excavation & Exclusions
Pricing is based on:
- Average digging depth of 4 feet
- Full 8-hour workdays
Unless stated, the following are not included:
- Grading or swales
- Soil removal
- Landscape restoration
- Permits
- Specialty services (dewatering, trench boxes, etc.)
Disturbed areas will be left in rough grade unless specified otherwise.
6. Permits
Permits are the responsibility of the Customer unless stated otherwise.
7. Utilities & Underground Conditions
Customer is responsible for identifying and marking all private utilities.
The Company is not responsible for damage to:
- Unmarked or improperly marked utilities
- Irrigation systems
- Hidden underground structures
8. Drainage Disclaimer
Drainage systems:
- Are based on experience, not engineering (unless stated)
- Do not guarantee complete elimination of water
Performance may vary due to:
- Weather
- Soil
- Property conditions
9. Maintenance
Customer is responsible for maintaining the system after installation.
Failure to maintain may impact performance and warranty.
10. Warranty
Work is completed in a workmanlike manner.
Warranty (if provided):
- Covers workmanship only
- Excludes clogs, roots, weather, and misuse
Void if unpaid.
11. Delays
The Company is not responsible for delays due to:
- Weather
- Site conditions
- Equipment or supply issues
12. Limitation of Liability
Total liability is limited to the amount paid under the contract.
The Company is not liable for:
- Pre-existing conditions
- Hidden issues
- External factors
13. Collection
Customer agrees to pay:
- Collection costs
- Attorney’s fees
14. Agreement Binding Clause
By signing the Work Authorization, Customer acknowledges they have read, understand, and agree to be legally bound by this Installation Service Agreement.
